End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you and Happyn, Inc. ("the Company") for the Happyn website and any applications we provide (the "App"). By accessing or using the App, you agree to be bound by these terms, as well as our Terms of Service and Privacy Policy.

1. License Grant

  • Limited license: The Company grants you a personal, revocable, non-exclusive, non-transferable license to access and use the App on devices you own or control, strictly for your personal or professional use as a Host or Vendor.
  • Scope: This license does not grant you any rights to the source code of the App.

2. Restrictions on Use

You agree that you will not, and will not permit others to:

  • Decompile / reverse engineer: Attempt to discover the source code or algorithms of the App;
  • Sublicense: Sell, rent, lease, or distribute the App to third parties;
  • Modify: Create derivative works or "skins" based on the App's interface; or
  • Circumvent: Bypass any technological measures or content protections used in the App.

3. Consent to Use of Data & Updates

  • Technical data: You agree that the Company may collect and use technical data (e.g., device model, OS version, crash reports) to facilitate software updates and product support, as described in our Privacy Policy.
  • Automatic updates: We may update, improve, or modify the App from time to time. Where we provide a downloadable application, it may automatically download and install updates.

4. App Store Terms (Apple / Google)

Happyn is currently provided as a web application. The following terms apply only if and when you obtain the App through the Apple App Store or Google Play:

  • Third-party beneficiaries: You acknowledge that this Agreement is between you and the Company only, not with Apple, Inc. or Google LLC. However, the App Stores are third-party beneficiaries of this Agreement and have the right to enforce it against you.
  • Maintenance & support: The Company is solely responsible for providing maintenance and support for the App. Apple/Google have no obligation whatsoever to furnish such services.

5. Warranty & Product Claims

  • Limited warranty: To the maximum extent permitted by law, the App is provided "as is."
  • Refunds (App Store): If you obtained the App through an App Store, then in the event of any failure of the App to conform to any applicable warranty, you may notify the App Store for a refund of the purchase price (if any); however, the App Store has no other warranty obligation whatsoever.

6. Termination

This license is effective until terminated by you or the Company. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and, for any installed application, delete all copies from your devices.
